The term “HFD” shall include any management members, officers, employees, agents, suppliers, etc, but exclude the independent contractors.

HFD ONLY PASSES YOUR REQUEST TO THE INDEPENDENT CONTRACTOR, IS NOT A PARTY TO ANY AGREEMENT BETWEEN YOU AND THE INDEPENDENT CONTRACTOR AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IS NOT LIABLE FOR THAT AGREEMENT OR FOR ANY WORK DONE, OR NOT DONE, UNDER IT. THIS SECTION ADDS TO THE “INDEPENDENT CONTRACTORS” AND “RELEASE & DISCLAIMERS” SECTIONS.

1. Access to the Site
1.1 Permission to Use. Subject to these Terms, we grant you (and you only) a non-transferable, non-exclusive, revocable, limited permission to use the Site solely for your own personal, non-commercial use.
1.2 Certain Restrictions. 1.3 Modification. HFD reserves the right, at any time, to modify, suspend, or discontinue the Site and/or its services (in whole or in part) with or without notice to you. You agree that HFD will not be liable to you or to any third party for any modification, suspension, or discontinuation of the above.
1.4 No Support or Maintenance. Although we will try our best, there is always a possibility that some information you provide to us and use and/or store on the Site could get lost due to data corruption, hardware failure, network issues, problems with hosting, disruptions, and actions by third parties or other technical reasons. Similarly, it is possible that some of the services could become unavailable or slow at times. You agree not to hold us liable or responsible for any interruption of service or loss of data, and you acknowledge that we made you no guarantees about service availability or data durability.
1.5 Potential Disruption of Services. Access to the Site may, from time to time, be unavailable, delayed, limited etc. due to, among other things:
- Hardware failure, including among other things failures of computers and mobile devices (including your own computer and/or mobile device), servers, networks, telecommunication lines and connections, and other electronic and mechanical equipment;
- Software failure, including among other things, bugs, errors, viruses, configuration problems, incompatibility of systems, utilities or applications, the operation of firewalls or screening programs, unreadable codes, or irregularities within particular documents or other content;

You agree that HFD will not be liable to you or to any third-party for Disruptions of the Site or any part thereof.
1.6 Ownership. Excluding any User Content (defined below) that you may provide, you acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in and on the Site and its content are owned by us and/or our partners and/or affiliates. Neither these Terms (nor your access to the Site) transfers to you or any third party, any rights, title or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in the “Permission to Use” section above. We reserve all rights not granted in these Terms.
2. User Content
2.1 “User Content” means all information and content that you submit to or through the Site, for example through our quote request form, by email or in a voicemail, including Feedback (as defined below), but not including information automatically collected about you by the Site. You are solely responsible for your User Content. You represent and warrant that your User Content is accurate, that you have the right to share it (for example, you do not submit another person’s contact details without their permission), and that it does not violate our Acceptable Use Policy (below), our Privacy Policy or the rest of these Terms. Our collection and use of User Content is subject to our Privacy Policy.
2.2 Feedback. If you provide us with any feedback or suggestions about the Site or its services in any form (“Feedback”), we will treat that Feedback as non-confidential and non-proprietary. You agree that you will not submit to us any information or ideas that you consider to be confidential or proprietary, and that your Feedback will be in compliance with our Acceptable Use Policy.
2.3 License to HFD. You hereby grant (and you represent and warrant that you have the right to grant) to HFD a nonexclusive, royalty-free and fully paid license to store, copy and use your User Content to answer your request, to pass it to the independent contractor we work with as described in our Privacy Policy, and to run and improve the Site, and an irrevocable, worldwide license to use your Feedback in any manner including for commercial purposes.
2.4 Acceptable Use Policy.
(a) You agree not to use the Site to collect, upload, transmit, display, create or distribute any User Content (i) that violates any third-party rights, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, confidentiality or any other intellectual property or proprietary right; (ii) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual or is otherwise objectionable; (iii) that is harmful to minors in any way; or (iv) that is in violation of any law (whether criminal, civil or other), regulation, obligation or restrictions imposed (in the widest sense possible) by any third party.
(b) You agree not to: (i) upload, transmit, or distribute to or through the Site any computer viruses, worms, or any software intended to damage or alter a computer system or data; (ii) send through the Site unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, bulk communications, or any other form of duplicative or unsolicited messages, whether commercial or otherwise; (iii) use the Site to harvest, collect, gather or assemble information or data regarding other users, including e-mail addresses and/or phone numbers, without the user's specific prior consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Site (including due to web-scraping of the Site), or violate the regulations, policies or procedures of such networks; (v) attempt to gain unauthorized access to the Site (or to other computer systems and/or networks and/or servers connected to or used together with the Site), whether through password mining or any other means; (vi) harass or interfere with any other user’s use and enjoyment of the Site and/or use the Site with the intention of harming other users; (vii) use software, automated agents, scripts and/or AI tools or LLMs (“Tools”) to strip, scrape, or mine data from the Site or (viii) use Tools to generate automated searches, requests, or queries to the Site (provided, however, that we conditionally grant to the operators of public search engines revocable permission to use spiders to copy materials from the Site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials, subject to the parameters set forth in our robots.txt file) and (ix) upload, or attempt to upload, any material that functions as a means to collect or transmit information, whether actively or passively. This includes cookies, 1x1 pixels, web bugs, clear graphics interchange formats (gifs), or other similar devices, which are sometimes referred to as "passive collection mechanisms" (PCMs) or "spyware".
2.5 Enforcement. We reserve the right (but have no obligation) to review any User Content, and to investigate and/or take appropriate action against you in our sole discretion if you violate the Acceptable Use Policy or any other provision of these Terms and/or our Privacy Policy, or otherwise create liability for us or any other person. Such action may include removing or deleting your User Content, blocking your access to the Site, and/or reporting you to law enforcement authorities.
3. Fees.
Browsing the Site is free. Any prices, fees, payment schedules and other financial or commercial terms for any drainage (or related) service/s are agreed, and paid, directly between you and the independent contractor. HFD does not set, collect or receive any payment from you, is not a party to that transaction and, to the maximum extent permitted by law, is not liable for it in any way whatsoever. You are not obligated to agree to any price proposal or to use the independent contractor who gave you a quote via the Site.
4. Indemnification.
You agree to indemnify and hold HFD (and our officers, employees, agents, successors, and assigns) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of (1) your use of the Site in violation of these Terms and/or of applicable laws or regulations, or (2) your User Content. We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of these claims. You agree not to settle any matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.
5. Third-Party Links and AI content.
5.1 Third Party Links. The Site may contain links to third-party websites and/or services, for example: Google maps (“Third-Party Links”). HFD is not responsible for any Third-Party Links. HFD provides access to these Third-Party Links only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links. You use all Third-Party Links at your own risk and should apply a suitable level of caution and discretion in doing so. When you click on any of the Third-Party Links, the applicable third party’s terms and policies apply, including the third party’s privacy and data gathering practices.
5.2 Artificially created content. Some pictures on the Site are created with artificial intelligence and are labelled as such; they illustrate the topic and do not show work done for a real customer.
6. Independent Contractors.
6.1. The services, if you choose to use any, are provided by an independent contractor and NOT by HFD. The price and the work are agreed directly between you and the independent contractor, and not with HFD.
6.2. Requests. When you send a request through the Site or call us, we pass your request to an independent contractor with whom we work. Sending a request does not create a contract for any work, and you do not have to accept any estimate.
6.3. No Guarantee. The independent contractor is not our employee or agent. The independent contractor sets its own prices, schedule, methods and any warranty for its work. We do not guarantee that an independent contractor will be available, will contact you within a certain time or will accept your job, and we do not guarantee the quality, safety, timing or results of any work. Before you hire anyone, please check their references and the terms they offer you. It is always advised to get at least one additional price proposal.
6.4. No Endorsement. We do not endorse the independent contractor and only represent his/her information as we have received it and permit the independent contractor to give you a price proposal. You are solely responsible to accept or decline that proposal.
6.5. Limitation of HFD Liability for Work. To the maximum extent permitted by law, HFD is not responsible for any harm, injury, loss, or damages arising out of or in connection with work done, or not done, by an independent contractor, or from your dealings with them. Any claim about the work is between you and the independent contractor.
7. Release & Disclaimers
7.1. RELEASE. YOU HEREBY RELEASE AND FOREVER DISCHARGE HFD (AND OUR OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS) FROM, AND HEREBY WAIVE AND RELINQUISH, EACH AND EVERY PAST, PRESENT AND FUTURE DISPUTE, CLAIM, CONTROVERSY, DEMAND, RIGHT, OBLIGATION, LIABILITY, ACTION AND CAUSE OF ACTION OF EVERY KIND AND NATURE (INCLUDING PERSONAL INJURIES, DEATH, AND PROPERTY DAMAGE), INCLUDING ANY CLAIM BASED IN WHOLE OR IN PART ON THE NEGLIGENCE OF HFD, THAT HAS ARISEN OR ARISES DIRECTLY OR INDIRECTLY OUT OF, OR THAT RELATES DIRECTLY OR INDIRECTLY TO, THE SITE (INCLUDING ANY INTERACTIONS WITH, OR ACT OR OMISSION OF, ANY INDEPENDENT CONTRACTOR OR ANY THIRD-PARTY LINKS). THIS RELEASE DOES NOT APPLY TO CLAIMS ARISING FROM THE GROSS NEGLIGENCE OR WILFUL MISCONDUCT OF HFD, OR TO ANY RIGHT THAT CANNOT BE WAIVED BY LAW, INCLUDING YOUR RIGHTS UNDER THE TEXAS DECEPTIVE TRADE PRACTICES-CONSUMER PROTECTION ACT. IF ANY JURISDICTION DOES NOT ALLOW THE ABOVE RELEASE, OR LIMITS IT, THEN THE ABOVE RELEASE WILL APPLY TO THE MAXIMUM EXTENT, DURATION AND LIMITATION AS IS PERMITTED BY THE APPLICABLE JURISDICTION.
7.2. DISCLAIMER. THE SITE IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND HFD EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, COMPLY WITH ALL LOCAL AND INTERNATIONAL LAW, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SITE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF FIRST USE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES AND/OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE EXCLUSION/LIMITATION MAY NOT APPLY TO YOU AND WILL ONLY APPLY TO THE MAXIMUM EXTENT, DURATION AND LIMITATION AS IS PERMITTED BY THE APPLICABLE JURISDICTION.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HFD BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS AND/OR SERVICES, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE, EXCEPT IN CASES OF GROSS NEGLIGENCE OR WILFUL MISCONDUCT BY HFD (AS CLEARLY EVIDENCED BY YOU), EVEN IF HFD (INCLUDING ANY MANAGEMENT MEMBERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, ETC.) HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SITE ARE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES, INCLUDING TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS (U.S. $50). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. YOU AGREE THAT OUR SUPPLIERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THIS AGREEMENT.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
9. Term and Termination.
Subject to this Section, these Terms will remain in full force and effect while you use the Site. We may suspend or terminate your rights to use the Site at any time for any reason at our sole discretion. Upon termination of your rights under these Terms, your right to access and use the Site, or specific functions of its service, will terminate immediately and we may (but don’t have to - subject to our Privacy Policy) delete any User Content of yours that we have. We will not have any liability whatsoever to you for any termination of your rights under these Terms. Even after your rights under these Terms are terminated, these Terms will remain in effect.
10. Copyright Policy.
We respect the intellectual property of others and ask that users of the Site do the same. We have adopted a policy respecting copyright law that provides for the removal of any infringing materials.
If you believe that any information on the Site is unlawfully infringing copyright(s), and wish to have the allegedly infringing material removed, please send us the following information by e-mail to: info@houstonfrenchdrain.com
- Identification of the copyrighted work(s) (the ‘original’ work) that you claim to have been infringed;
- Identification of the material on our Site that you claim is infringing and that you request us to remove, and sufficient information to permit us to locate such material;
- Information reasonably sufficient to permit HFD to contact you, such as your address, telephone number, and e-mail address;
- A signed statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law; and
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner.
Please note that any misrepresentation of material fact/s (falsities) in a written notification automatically subjects you to liability for any damages, costs and attorney’s fees incurred by us in connection with the written notification and allegation of copyright infringement.
11. General
11.1 Changes. These Terms are subject to occasional revision. If we make any substantial changes they will be made on this page and we will update the “Last revised on” date below and may add a note below it with the main changes made. Changes take effect 24 hours after they have been posted. Continued use of the Site after changes are posted shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
11.2 Dispute Resolution. Before filing any formal legal claim, you agree to first contact HFD (via our contact form or by email) and attempt to resolve the dispute informally and in good faith. HFD will endeavour to respond and engage in resolution discussions within thirty (30) calendar days of receiving notice of the dispute. If the dispute is not resolved within those thirty (30) days, either party may start online arbitration under the “Online Arbitration” section below, which is compulsory before any claim is filed in court. Only after the online arbitration, and only as these Terms and the law allow, may the parties submit a claim to court (for example, to confirm, enforce or challenge the arbitration award), as set out in the “Governing Law and Jurisdiction” section below. Once again: HFD is not a party to any agreement or issue that you may have with the independent contractor that provided the services. If such a dispute exists, you should contact the independent contractor directly.
11.3 Governing Law and Jurisdiction. These Terms shall be governed by the laws of the State of Texas and applicable United States federal law, exclusive of choice of law rules. Your conduct may also be subject to other local, state and federal laws. Only after the steps in the “Dispute Resolution” and “Online Arbitration” sections (except a request for urgent relief under the “Online Arbitration” section), any action to be brought in connection with these Terms, and/or the Site shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you irrevocably consent to their jurisdiction. Any cause of action against us must be brought within two (2) years, or the shortest period legally permitted by applicable law (the shorter of the two), of the date such cause of action arose. Notwithstanding the foregoing, HFD may lodge a claim against you pursuant to the indemnity clause in these Terms, in any court adjudicating a third-party claim against HFD.
Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Service. In any action to enforce these Terms, the prevailing party will be entitled to costs and attorneys’ fees.
11.4 Online Arbitration. If a dispute between you and HFD is not resolved under the “Dispute Resolution” section above, you and HFD agree to resolve it first by binding arbitration held online (by video call, telephone or written submissions, so that no one has to travel), before going to any court. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator, in English, and under the laws of the State of Texas and the Federal Arbitration Act. The arbitrator’s award is final and may be entered in any court with jurisdiction, including the courts located in Harris County, Texas. We may ask a court for urgent relief to protect our intellectual property or to stop a breach of the Acceptable Use Policy. Each party will pay half of the arbitration fees (including the AAA’s fees and the arbitrator’s compensation). After the arbitrator decides, the losing party will repay the winning party the arbitration fees the winning party paid. These fee terms apply to the extent the AAA’s rules and applicable law allow. You and HFD agree that claims may be brought only on an individual basis, and not as a plaintiff or class member in any class, collective or representative action, and that the arbitrator may not combine the claims of more than one person. YOU AND HFD WAIVE ANY RIGHT TO A JURY TRIAL. THIS WAIVER IS A FUNDAMENTAL CONDITION OF THESE TERMS; IF YOU DO NOT AGREE TO IT, PLEASE DO NOT USE THE SITE.
11.5 Electronic Communications. The communications between you and HFD may be through electronic means, whether you use the Site or send us e-mails, or whether HFD posts notices on the Site or communicates with you via e-mail. For contractual purposes, you (a) consent to receive communications from us in electronic form; (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if it were in a hardcopy writing and (c) waive any requirements or rights under any laws, regulations, rules, orders, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records. The foregoing does not affect your non-waivable rights.
11.6 Entire Terms and Non-Waiver. These Terms constitute the entire agreement between you and us regarding the use of the Site. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation”. If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Neither party is an agent or partner of the other. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without HFD’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. HFD may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.
